1. Acceptance of Terms
By accessing and using the Lumina Corp Nigeria website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Description of Services
Lumina Corp Nigeria provides proprietary digital solutions and professional services including but not limited to:
- Lumina Digital Parish Manager (DPM): Proprietary church management and administration software
- Lumina Library: Digital-physical knowledge ecosystem and management system
- Custom Software Development: Bespoke software solutions for Nigerian institutions
- Technology Consulting: Digital transformation and technology strategy services
- System Integration: Integration services for existing institutional systems
- Training and Support: User training and ongoing technical support services
All software products are proprietary to Lumina Corp Nigeria and are licensed, not sold, to clients.
3. User Responsibilities
As a user of our services, you agree to:
- Provide accurate and complete information when required
- Use our services in compliance with applicable laws and regulations
- Not engage in any illegal, harmful, or unauthorized activities
- Respect intellectual property rights
- Not attempt to gain unauthorized access to our systems
- Not interfere with the proper functioning of our services
4. Software Licensing and Usage Rights
All Lumina Corp Nigeria software products are proprietary and protected by copyright laws. Your use of our software is governed by the following licensing terms:
4.1 License Grant
Subject to these terms, Lumina Corp Nigeria grants you a limited, non-exclusive, non-transferable license to use our software solely for your internal business operations.
4.2 Usage Restrictions
You may NOT:
- Copy, modify, or create derivative works of our software
- Reverse engineer, decompile, or disassemble our software
- Distribute, sublicense, or transfer the software to third parties
- Use the software for competitive analysis or benchmarking
- Remove or alter any proprietary notices or labels
- Use the software beyond the scope of your licensed agreement
4.3 License Termination
Your license terminates immediately upon violation of these terms or expiration of your service agreement. Upon termination, you must cease all use and destroy all copies of our software.
5. Data Ownership and Processing
Data ownership and processing rights are critical to our service relationships:
5.1 Client Data Ownership
You retain full ownership of all data you input into our systems. Lumina Corp Nigeria does not claim ownership of your data and will not use your data for purposes other than providing our services.
5.2 Data Processing Rights
By using our services, you grant Lumina Corp Nigeria the right to:
- Process your data to provide and improve our services
- Store and backup your data in secure, encrypted systems
- Generate anonymized analytics and insights (without identifying information)
- Comply with legal obligations and regulatory requirements
5.3 Data Export and Portability
Upon request and subject to applicable fees, we will provide you with a complete export of your data in standard formats. Data export requests must be made in writing with reasonable advance notice.
6. Payment Terms and Billing
Payment terms for our services are as follows:

- All fees are due in advance unless otherwise specified in your service agreement
- Payment methods include bank transfer, credit card, and other agreed methods
- Late payments may incur additional charges and service suspension
- All prices are in Nigerian Naira unless otherwise specified
6.2 Refund Policy
Refunds are handled on a case-by-case basis. Generally:
- Setup and implementation fees are non-refundable once work has commenced
- Monthly/annual subscription fees may be prorated for unused periods
- Refund requests must be made within 30 days of payment
6.3 Price Changes
We reserve the right to modify our pricing with 30 days advance notice. Existing clients will be grandfathered at current rates for the duration of their current billing cycle.
7. Service Level Commitments
We are committed to providing reliable services with the following standards:
7.1 Uptime Commitment
We strive to maintain 99.5% uptime for our hosted services, excluding scheduled maintenance windows and circumstances beyond our reasonable control.
7.2 Support Response Times
- Critical Issues: 2 hours during business hours
- High Priority: 4 hours during business hours
- Standard Issues: 24 hours during business hours
- General Inquiries: 48 hours during business hours
7.3 Maintenance Windows
Scheduled maintenance will be performed during off-peak hours with 48 hours advance notice. Emergency maintenance may be performed with immediate notice when necessary for system security or stability.
8. Security and Compliance
We maintain high security standards and compliance requirements:
8.1 Data Security
- All data is encrypted in transit and at rest
- Regular security audits and penetration testing
- Access controls and authentication protocols
- Secure backup and disaster recovery procedures
8.2 Breach Notification
In the event of a data breach, we will notify affected clients within 24 hours and provide regular updates on our response and remediation efforts.
8.3 Compliance
We comply with applicable Nigerian data protection laws and industry standards. Clients are responsible for ensuring their use of our services complies with their own regulatory requirements.
9. Professional Services Terms
Custom development and consulting services are governed by additional terms:
9.1 Project Scope and Deliverables
All custom development projects require a separate Statement of Work (SOW) that defines scope, deliverables, timelines, and payment terms.
9.2 Intellectual Property in Custom Work
Custom software developed specifically for you will be owned by you upon full payment. However, Lumina Corp Nigeria retains rights to:
- General methodologies, techniques, and know-how
- Pre-existing intellectual property incorporated into custom work
- Improvements and enhancements to our proprietary platforms
9.3 Change Management
Changes to project scope must be documented in writing and may result in additional fees and timeline adjustments. All change requests are subject to approval by both parties.
10. Intellectual Property Rights
All content, trademarks, service marks, trade names, logos, and other intellectual property displayed on our website are the property of Lumina Corp Nigeria or their respective owners. You may not use, reproduce, or distribute any content without our express written permission.
11. Privacy and Data Protection
Your privacy is important to us. Please review our Privacy Policy, which also governs your use of our services, to understand our practices regarding the collection and use of your personal information.
12. Service Termination
Either party may terminate service agreements with appropriate notice:
12.1 Termination by Client
Clients may terminate services with 30 days written notice. Upon termination:
- Access to services will cease at the end of the billing period
- Data export will be provided within 30 days of termination
- Outstanding fees remain due and payable
12.2 Termination by Lumina Corp
We may terminate services immediately for:
- Violation of these terms or service agreements
- Non-payment of fees after 15 days notice
- Illegal or harmful use of our services
- Breach of security or confidentiality obligations
12.3 Post-Termination Obligations
Upon termination, both parties must return or destroy confidential information and cease all use of proprietary materials. Data retention and destruction policies will be followed as specified in our Privacy Policy.
13. Limitation of Liability
To the maximum extent permitted by Nigerian law, Lumina Corp Nigeria's liability is limited as follows:
13.1 Liability Cap
Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the services in the 12 months preceding the claim.
13.2 Excluded Damages
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Business interruption or downtime
- Third-party claims or damages
13.3 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or infrastructure failures.
14. Indemnification
You agree to indemnify and hold harmless Lumina Corp Nigeria, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of third-party rights.
15. Governing Law and Dispute Resolution
These terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
15.1 Dispute Resolution Process
Any disputes arising from these terms shall be resolved through the following process:
- Negotiation: Parties will attempt to resolve disputes through good faith negotiation
- Mediation: If negotiation fails, disputes will be submitted to mediation
- Arbitration: Unresolved disputes will be subject to binding arbitration in Lagos, Nigeria
15.2 Jurisdiction
Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
16. Severability and Waiver
If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.
17. Changes to Terms
We reserve the right to modify these terms at any time. Material changes will be communicated with 30 days advance notice. Your continued use of our services after such changes constitutes acceptance of the new terms.

19. Acknowledgment
By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute the entire agreement between you and Lumina Corp Nigeria regarding the use of our services.
